Terms & Conditions

These Terms & Conditions ("Terms") govern your use of the gearkite.com website (the "Website") and the GEARKITE gear design application (the "Application"), together the "Service". The Service is provided by CADKITE TECHNOLOGIES ("we", "us", "our"). By using the Service, starting a free trial or placing an order, you agree to these Terms. If you are accepting them on behalf of a company, you confirm that you have authority to bind that company.

1. The Service

GEARKITE is browser-based software for designing and calculating industrial gears, including geometry, sizing, strength calculations, visualization, data export and batch calculations. The features available to you depend on your plan, as described on the Plans and Pricing page.

2. Accounts

• You must give accurate information when you register and keep it up to date.
• You are responsible for keeping your login details confidential and for all activity under your account.
• Each subscription is for the number of users stated in your order. Accounts may not be shared between people unless your plan allows it.
• Tell us immediately at support@gearkite.com if you suspect unauthorised use of your account.

3. Free trial

New users may use GEARKITE free for 7 days, without providing payment details. Trial features may be limited, as shown on the Plans and Pricing page. At the end of the trial, access to paid features stops unless you place an order. We may change or withdraw the free trial offer at any time.

4. Plans, orders and payment

• Payments are not processed on the Website. When you select a paid plan and submit an order request, our sales team will contact you, normally within 24 hours, to confirm the order details and arrange payment.
• An order request is an offer to subscribe. A binding agreement is formed only when we confirm your order and issue an invoice.
• Prices are shown in Indian Rupees (INR) and are exclusive of GST, which is added at the applicable rate. If you provide a valid GSTIN, we will issue a GST invoice in the registered name you give us.
• Your subscription is activated after we receive full payment of the invoice.
• Enterprise plans are priced and governed by a separate written agreement, which takes priority over these Terms where they differ.

5. Subscription term and renewal

Subscriptions run for the billing period you choose: monthly or annual. Before the end of each period, we will send you a renewal invoice. Your subscription renews when that invoice is paid. If it is not paid by the end of the period, access to paid features stops. We may change prices for future periods by giving you at least 30 days' notice; the change applies from your next renewal. Cancellations and refunds are covered by our Refund Policy.

6. Acceptable use

You agree not to:

• Copy, modify, reverse engineer, decompile or attempt to extract the source code or calculation methods of the Application, except where the law expressly permits it.
• Resell, sublicense or provide the Service to third parties, unless you are an authorised GEARKITE partner or reseller.
• Use automated tools to access the Service in a way that places an unreasonable load on it, or try to bypass usage limits or security measures.
• Upload anything unlawful, harmful or that infringes someone else's rights, or use the Service for any illegal purpose.

7. Your data

You own the design data, inputs and results you create or upload in the Application ("Your Data"). You give us permission to store, process and display Your Data only as needed to provide the Service to you. We handle personal data as described in our Privacy Policy. You are responsible for keeping your own copies of important results, for example by using the export functions.

8. Our intellectual property

The Service, including the software, calculation engine, design, text, logos and the GEARKITE name, belongs to CADKITE TECHNOLOGIES or its licensors and is protected by intellectual property laws. Your subscription gives you a limited, non-exclusive, non-transferable right to use the Service during your subscription period. No other rights are granted.

9. Engineering responsibility

Results depend on the inputs, assumptions and standards you select. You are responsible for checking that inputs are correct, that the chosen calculation methods and standards suit your application, and for independently verifying and approving any design before it is manufactured or put into service. We are not responsible for designs, products or decisions based on results from the Service.

10. Availability and changes

We aim to keep the Service available and reliable, but we do not guarantee uninterrupted access. The Service may be unavailable during maintenance, updates or events beyond our control. We may add, change or remove features over time. We will not materially reduce the core functionality of a paid plan during a subscription period you have already paid for.

11. Disclaimer of warranties

To the extent permitted by law, the Service is provided "as is" and "as available". We do not give any warranty that the Service will be error-free or meet every requirement you have, and we disclaim all implied warranties, including fitness for a particular purpose.

12. Limitation of liability

To the extent permitted by law, CADKITE TECHNOLOGIES will not be liable for any indirect, incidental, special or consequential loss, or for loss of profits, revenue, data or business, arising from your use of the Service. Our total liability for any claim relating to the Service is limited to the fees you paid us for the Service in the 12 months before the claim arose.

13. Suspension and termination

We may suspend or terminate your access if you seriously or repeatedly breach these Terms, fail to pay an invoice, or if required by law. You may stop using the Service at any time. When your subscription ends, you can export Your Data for 30 days, after which we may delete it in line with our Privacy Policy.

14. Governing law

These Terms are governed by the laws of India. Any dispute will be subject to the exclusive jurisdiction of the courts at the place of CADKITE TECHNOLOGIES' registered office in India. We encourage you to contact us first so we can try to resolve any concern informally.

15. Changes to these Terms

We may update these Terms from time to time. The "Last updated" date shows when they were last changed. If we make significant changes, we will notify registered users by email or through the Application. Continuing to use the Service after changes take effect means you accept them.
